Mike Kimball serves as a true legal counselor in helping his clients achieve their goals. His expertise and proficiency are recognized among technology clients and colleagues spanning a variety of industries.

Mike works with private and public technology companies ranging from start-ups to multinational organizations. He represents clients in digital health, information technology, software, hardware, internet, telecommunications and defense, as well as various retail, service, entertainment, real estate, and manufacturing industries. Mike has also represented European, Australian, Japanese, Middle Eastern and Latin American companies in various international transactions, including the establishment of subsidiaries in the United States.

His practice focuses on business strategy involving corporate, securities, and intellectual property, as well as related tax issues. Mike advises companies through every stage of the corporate life cycle, from initial formation and financing through acquisition. These include mergers and acquisitions, debt and equity financing, including angel and venture capital, licensing, strategic alliances, joint ventures and corporate partnering, equity compensation plans, manufacturing and distribution agreements, technology transactions, and start up business formation and structuring. Mike is keenly aware of the ins and outs of seeking and obtaining venture financing as well as exploring business and exit strategies

On the investor side, Mike represents VC funds and strategic investors looking to build a portfolio or identify a potential opportunity. In addition to expertise with California and Delaware corporate entities, Mike has substantial experience with limited liability companies and limited partnerships.

He encourages a collaborative approach, recognizing that not every point is a deal-breaker and that optimal negotiation includes give-and-take. Mike views a successfully concluded transaction as the hallmark of success, and discretely manages egos during a dynamic process. Although most clients have Mike serve as their outside general counsel to provide support and guidance to the board and executive officer, he is equally adept at managing fast-moving transactions for clients seeking to close deals quickly and precisely.
